A Merger of MarketLinx® Solutions and Interealty

FREQUENTLY ASKED QUESTIONS,

Q: Why have MarketLinx and Interealty merged?
A: This merger is another positive step in First American's strategy to provide to the Real Estate Industry the most streamlined delivery of MLS data, property characteristic information and transaction management solutions, all of which are integrated with each other and connected to the title insurance production and closing/settlement systems. To this end, customers will be able to take advantage of this unprecedented, end-to-end connectivity, will experience a unified flow of information and documentation, and will have the opportunity to select our multi-product bundles, which include all of the services necessary to close a real estate transaction.
The formation of First American MLS Solutions makes us the clear leader in the MLS market, allowing us to provide services to approximately 500,000 agents and the associated buyers, sellers and borrowers to whom we can make available the full range of First American products.

Q: What is the effective date of the merger?
A: The transition process is already underway and will be finalized by December 31.

Q: Will the MarketLinx and Interealty leadership change?
A: Yes. Thad Shows has been promoted to Vice President, Residential Strategic I.T. Operations and Development with First American Title Insurance Company, responsible for the integration of all MLS, residential and title products. Thad will report to Larry Godec, Senior Vice President, Chief Information Officer, First American Title Insurance Company. Bryan Foreman has been named President of First American MLS Solutions. Those individuals who formerly reported to Thad will report to Bryan.
Bryan joined Interealty as its President in March 2002, responsible for the company's strategic vision, day-to-day operations, and ongoing profitability. Prior to Interealty, Bryan was President and CEO of Mindwrap, where he led the company's product direction, funding, acquisitions, alliances, and the launch of its flagship product, Optix. As Senior Vice President at Platinum Technologies, Bryan led three separate divisions and was awarded the Platinum Lifetime Achievement Award for growing company revenues by more than $200 million. Bryan has an extensive background in the sales, customer service, implementation and marketing of enterprise software, and has built a career out of developing solid and trusted client relationships. Bryan holds a Bachelor of Science in Business Administration from the University of Tennessee.

Q: Will the majority of First Am MLS Solutions employees (former MarketLinx employees) still be located in Knoxville?
A: The plans are for the sale, maintenance, development and support of the TEMPOT product to continue to be performed from the Knoxville office.

Q: How will First American MLS Solutions fit within The First American Corporation?
A: First American MLS Solutions will continue to be a part of the First American Residential Group. Bryan Foreman will report to Stephen Roney, President/CEO of First American Residential Group. The First American Residential Group is dedicated to providing a truly integrated solution for real estate brokers, agents, and MLSs that streamlines the listing and closing process and leads to increased efficiency and profitability. The merger will accelerate the Residential Group's ability to deliver a fully-integrated, state-of-the-art technology platform to MLSs, brokers and agents, and it demonstrates the commitment that The First American Corporation has to the Real Estate Industry.

Q: Who is Interealty and what are Interealty's products?
A: Entering the real estate industry in 1966 as Planning Research Corporation, Interealty has evolved through a series of strategic sales and acquisitions from a real estate book publisher to a full-service real estate technology provider. The First American Corporation acquired Interealty in October 2005. Prior to the acquisition, Interealty was part of GEAC Enterprise Solutions, Inc.

Interealty offers a full line of technology products and support services to the Real Estate Industry, including MLS organizations, franchisors, and agents. For more than three decades, Interealty has provided real estate boards and associations with innovative products like the MLS system, MLXchange. Interealty now has 57 MLXchange customers across the US and Canada, representing 114 real estate organizations with more than 200,000 members.

Interealty has four offices: Vienna, VA; Ft. Lauderdale, FL; Atlanta, GA; and Vancouver, Canada and employs 130.

Q: Interealty was one of MarketLinx's biggest competitors. How will duplication of product be addressed?
A: In the short term, we believe the industry will remain as dynamic and competitive as it is today, with different MLSs having different needs. This merger will guarantee that The First American Corporation can satisfy those diverse needs. A potential client's needs will be assessed in the Request for Proposal (RFP) phase, and the product most suitable for that client's needs will be offered. In the long term, the talent and vision for the future that both companies bring to the table will translate to new and innovative product offerings that will continue to give our customers greater selection in the products they choose for their members to satisfy their specific needs and to keep them competitive in the marketplace.

Q: Why is this merger good for customers of MarketLinx and the customers of Interealty?
A: This transaction will benefit the MLS customers of both companies. We believe that there is a natural synergy between the two companies and the product lines. Combining the passion, creativity, and operational excellence of two leading-edge companies into First American MLS Solutions will allow us to better serve customers by accelerating innovations that change the way MLSs are doing business. Our combined strengths will translate to better product offerings, consistent delivery, continued service improvements and stronger support to our overall customer base.

Q: Will there be changes in the way we service our customers?
A: No. We will continue to provide customers the highest level of customer service, as we are doing today.

Q: How can I get more information about this transaction?
A: Further details about this merger will be announced by First American in a press release on Friday, December 9.

Q: Will MarketLinx/Interealty fulfill my MLS contract?
A: Yes. All commitments will be honored and fulfilled and we will continue to invest in both TEMPO and MLXchange. In addition, we believe that there will be opportunities for First American MLS Solutions to provide our customers even more value with additional products and services in the future.

Q: Will I be dealing with someone other than my current ML/IRC contact person?
A: You will continue to deal with the same support staff. The company will continue to maintain its high level of customer service and support.

Q: What does this mean for my Association/MLS?
A: First American MLS Solutions will continue to provide the same level of support and commitment that established both MarketLinx and Interealty as industry leaders.
